“Notice of the General Office of the State Council on Deepening the Reform of Commercial System, Further Alleviating Burdens of Enterprises to Stimulate the Vitality”

People’s governments of all provinces, autonomous regions and municipalities directly under the central government, ministries and commissions of the State Council and institutions directly under the State Council:

The Central Committee of the Party and the State Council attach great importance to the reform of the commercial system.The remarkable results achieved in the reform of commercial system in recent years have made market access more convenient, improved the market regulatory mechanism, prospered market entities and greatly improved the business environment.However, the phenomenon of “allowed to enter, forbid to operate” still exists from a national perspective. The ability of loose entry, strict management, and coordinated governance still needs to be strengthened. With the consent of the State Council, Relevant matters are hereby notified as follows with the consent of the State Council to better coordinate COVID-19 prevention, control, economic and social development, speed up to create an international and market-based business environment governed by the law, release the potential of social entrepreneurship and stimulate the vitality of enterprise:

I. Promote the whole process ofstart-up of enterprises online

(I)Promote the “Integrated Online Platform” for start-up of enterprises.All provinces, autonomous regions, municipalities directly under the Central Government and the Xinjiang Production and Construction Corps will launch the “Integrated Online Platform” for starting up enterprises, so that the whole process of start-ups can be handled online, which will further reduce the start-up time to four working days or less. The standardization pilot projects established by enterprises will be explored and promoted on this basis.

(II)Continue to improve the service capabilities of start-up of enterprises. Promote online “one-form filling” applications for enterprise registration, official seal engraving, invoice and tax control equipment application, employee insurance registration, and enterprise deposit registration for housing provident fund by relying on the platform of “Integrated Online Platform”; implement “One-form application and One-window Collection”, or through delivery, self-printing, etc. in places where conditions permit; promote the use of electronic business licenses, electronic invoices, and electronic seals in a wider range of fields under the premise of strengthening supervision and ensuring safety.

II. Promote the reform of the registration system to achieve new breakthroughs

(III) Intensify the reform of registration of domicile and business premises.Support the provincial people’s governments in carrying out pilot registration to separate the domicile from business premises.Market entities can register one domicile and multiple business premises. Implement an independent declaration commitment system for registration of the domicile as a mailing address and the place receiving judicial documents (including administrative law enforcement documents). Management measures related to business premises can be formulated based on actual conditions. The establishment of a branch can be replaced with the application for the registration of business premises for market entities under the jurisdiction of the same county-level registration authority and carry out business activities outside the domicile, which is convenient for enterprises to expand their business scale.

(IV)Improve the intelligence level of name verification in the independent application system of enterprise names.Standardize the management of enterprise name registration in accordance with the law, strengthen the real-time maintenance of the banned and restricted words database with big data, artificial intelligence and other technical means, and improve the ability to analyze and recognize inappropriate words; promote the interconnection and sharing of commercial logo databases, and enrich the content of notifications to enterprises; explore “Corporate Commitment +On-processing and Post-event Supervision” and reduce manual intervention of “similar names”; strengthen the protection of the names and fonts of well-known enterprises, and establish a name dispute resolution mechanism.

III. Simplify the production, operation and approval conditions of relevant enterprises

(V)Promote the institutional reform of production licenses for industrial products.Transfer the examination and approval of five types of products, including reinforcement, cement for construction, radio and television transmission equipment, RMB discriminator and simply supported beam of prestressed concrete railway and bridge, to the provincial market supervision department; improve strict quality and safety supervision measures, strengthen supervision and guidance, and keep the bottom line of quality and safety;expand the implementation scope of informing and commitment, and promote the adjustment of chemical fertilizer products from the post on-site review to informing and commitment; publicize and interpret the policies, standards and technical specifications related to the production license of industrial products, strengthen the guidance for enterprises to apply for licenses, and help enterprises to obtain licenses.

(VI)Improve the certification system of mandatory products.Expand the scope of designated certification authorities, improve the one-stop service capacity of certification authorities to facilitate enterprises to apply for certification and testing; bear the certification fees for converting explosion-proof electrical appliances, gas appliances and large volume refrigerators into mandatory products; simplify the certification procedure for products of domestic sales originally produced for export; supervise and guide the designated certification authorities of mandatory products to shorten the processing time of certification and reduce certification costs by opening up green channels, accepting the existing and qualified assessment results and expanding online services; support certification services and technologies, provide policy and technical training for enterprises converting exports to domestic sales, optimize certification schemes, arrange special personnel to track the certification process, and reduce the compulsory certification fees for products of domestic sales originally produced for export.

(VII)Deepen the reform of the qualification accreditation of inspection and testing institutions.Make long-term emergency measures, including remote review during epidemic prevention and control;implement the nationwide informing and commitment system for the qualification accreditation of inspection and testing institutions in 2021;implement the online approval of qualification accreditation of inspection and testing institutions, and improve the function of querying institutional information.

(VIII)Accelerate the cultivation of standard “leaders”.Optimize the system and mechanism of the standard enterprise “leaders”, improve the evaluation plan, promote the third-party evaluation agencies to publish enterprise standard rankings, form a list of standard enterprise “leaders” in 2020, and guide more enterprises to declare higher quality standards.

IV. Strengthenon-processing and post-event supervision

(IX) Strengthen the publicity of enterprise information.Integrate and form a complete enterprise credit record with the unified social credit code as the identifier, and publicize to the public through the website of National Corporate Credit Information Publicity System, the “Credit China” the Government of China and relevant department portal websites.

(X)Perfect the punishment mechanism for dishonesty.Implement the policy of “Reports in One” for corporate annual reports, further optimize the working mechanism, promote the credit commitment system vigorously, and improve the credit restoration, force to quit and other institutional mechanisms; improve the level of coordinated supervision and strengthen punishments for dishonesty with credit management methods in accordance with laws and regulations, including lists of severe dishonesty in various fields.

(XI)Promote the implementation of smart supervision.Further improve the new supervision mechanism in market regulation supplemented by key supervision, based on supervision of “Random Selection of Inspection Objects and Inspectors and Timely Public Disclosure” and credit supervision; improve the recall system of defective products and urge enterprises to fulfill legal obligations of defect recall to eliminate potential product safety hazards;promote the combination of random inspection and classified supervision of credit risk to take differentiated and classified supervision measures for inspection objects with different risk levels and credit levels, identify and predict enterprise credit risk and main risks with big data and other technologies.

(XII)Regulate the supervision of platform economics.Give full play to the role of self-discipline of the industry and enterprise autonomy of platform economics, guide orderly competition of platform economics, oppose unfair competition, and standardize the development of online economy by adhering the principles of prudence, inclusiveness and encouraging innovation;investigate and punish illegal acts in e-commerce according to law, maintain a fair and orderly market order, and create a good business environment for the development of platform economics.

Districts and departments must implement the tasks and requirements set out in the Notice conscientiously, place emphasison the pain points of enterprise production and operation, strengthen overall planning and coordination of policies, implement responsibilities, organize the implementation, and form a resultant force.Administration for Market Regulation should strengthen the guidance in conjunction with relevant departments, summarize and promote typical experience and practices in deepening the reform of commercial system, coordinate and solve problems in implementation to ensure the implementation and effectiveness of the reform measures.
